Welcome to Stitch Berry. These Terms & Conditions (“Terms”) govern your use of the Stitch Berry website and the purchase of products and services from Stitch Berry (“Stitch Berry”, “we”, “our”, or “us”). By accessing our website or placing an order, you agree to be bound by these Terms.

1. Company Information
Stitch Berry is a South African company specialising in corporate clothing, promotional products, branded merchandise, workwear, gifts and custom branding solutions including embroidery, printing and laser engraving.

2. Acceptance of these Terms
By using this website or placing an order with Stitch Berry, you confirm that you have read, understood and accepted these Terms & Conditions.

If you do not agree with these Terms, you should not use this website or purchase our products or services.

3. Products and Services
Stitch Berry supplies, but is not limited to:

• Corporate Clothing
• Promotional Products
• Workwear
• Gifts
• Embroidery
• Screen Printing
• DTF Printing
• UV Printing
• Laser Engraving
• Custom Branding
• Product Sourcing

Product specifications, availability and pricing are subject to change without notice.

While every effort is made to ensure product information is accurate, colours, dimensions and finishes may vary slightly between production batches.

4. Quotations
All quotations are valid for 30 calendar days, unless otherwise stated.

A quotation does not constitute an order until:

• the quotation has been accepted by the customer;
• artwork has been approved where applicable;
• payment requirements have been satisfied; and
• Stitch Berry has confirmed acceptance of the order.

Quoted prices are subject to supplier stock availability and may be revised should supplier pricing change before the quotation is accepted.

Freight charges are estimated unless specifically confirmed.

5. Orders
An order becomes binding only after Stitch Berry has confirmed acceptance.

We reserve the right to refuse or cancel any order where:

• products become unavailable;
• pricing errors have occurred;
• fraudulent activity is suspected;
• artwork infringes intellectual property rights; or
• payment has not been received.

6. Payment
Payment terms will be agreed before production commences.

Unless otherwise agreed in writing:

• Full payment is required before production begins.
• Corporate credit accounts are subject to prior approval.
• Goods remain the property of Stitch Berry until paid for in full.

Late payments may result in production delays or suspension of services.

7. Artwork Approval
Customers are responsible for carefully reviewing all artwork proofs before providing approval.

Artwork approval includes confirmation of:

• spelling;
• grammar;
• colours;
• logo placement;
• sizing;
• branding position;
• garment colour; and
• overall layout.

Production will only commence after written artwork approval has been received.

Once artwork has been approved, Stitch Berry accepts no responsibility for errors contained within the approved proof.

Any changes requested after approval may result in additional costs and revised production timelines.

8. Artwork Ownership
Artwork supplied by the customer remains the property of the customer.

Artwork, layouts, mock-ups, embroidery digitising files, print-ready files and branding layouts created by Stitch Berry remain the intellectual property of Stitch Berry unless otherwise agreed in writing.

Digitised embroidery files remain the property of Stitch Berry, even where a digitising fee has been charged.

9. Branding Services
Embroidery
Embroidery quality is influenced by garment type, fabric construction and logo complexity.

Small text, fine detail and gradients may require modification to ensure acceptable stitch quality.

Digitising fees may apply to new logos.

Printing
Colour reproduction may vary slightly depending on:

• garment colour;
• fabric composition;
• printing method; and
• production processes.

Exact colour matching cannot always be guaranteed.

Laser Engraving
Laser engraving results vary depending on the material.

Natural materials such as wood, bamboo and leather contain natural variations which may affect engraving appearance.

These variations are not considered defects.

Promotional Products
Product dimensions, branding areas and colours are approximate and may vary slightly between manufacturing batches.

10. Samples
Where requested, Stitch Berry may provide:

• Digital artwork proofs;
• Physical samples; or
• Pre-production branded samples.

If a customer elects not to receive a sample or proof, production proceeds entirely at the customer’s risk.

11. Production Times
Estimated production times begin only once all of the following have been completed:

• payment requirements have been met;
• artwork approval has been received; and
• stock availability has been confirmed.

Production timelines are estimates only.

Delays may occur due to supplier shortages, courier delays, power interruptions or circumstances beyond our reasonable control.

12. Stock Availability
Products displayed on our website remain subject to supplier availability.

Should a product become unavailable after an order has been placed, Stitch Berry may:

• recommend an alternative product;
• delay production until stock becomes available; or
• issue a refund for the unavailable item.

13. Shipping & Delivery
Delivery charges are quoted separately unless otherwise stated.

Risk passes to the customer once goods have been collected or delivered to the nominated courier.

Customers should inspect goods immediately upon delivery.

Any shortages, damages or incorrect items must be reported within 48 hours of delivery.

14. Returns & Refunds
Due to the personalised nature of branded products:

• customised goods cannot be returned unless incorrectly produced or defective;
• non-branded stock items may only be returned with prior written approval;
• returned goods must be unused and in their original packaging.

Approved returns may be subject to a handling or restocking fee.

Our Returns Policy provides additional information.

15. Warranty
Stitch Berry warrants that products will be supplied free from manufacturing defects.

This warranty excludes:

• normal wear and tear;
• misuse;
• improper washing;
• chemical damage;
• accidental damage;
• customer supplied artwork errors; and
• damage caused after delivery.

16. Garment Care
Customers should follow all care instructions supplied with branded garments.

Improper washing, bleaching, tumble drying or ironing may reduce the lifespan of embroidery or printed branding and may void applicable warranties.

17. Customer Supplied Artwork
The customer warrants that they own or have permission to use any logos, trademarks, graphics or artwork supplied to Stitch Berry.

The customer indemnifies Stitch Berry against any claims arising from copyright or trademark infringement relating to supplied artwork.

18. Intellectual Property
Unless otherwise stated, all website content including:

• logos;
• graphics;
• photographs;
• renders;
• text;
• documentation;
• website design; and
• marketing materials

remain the intellectual property of Stitch Berry.

No content may be reproduced without prior written consent.

19. Limitation of Liability
To the fullest extent permitted by law, Stitch Berry shall not be liable for any indirect, incidental or consequential damages including, but not limited to:

• loss of profits;
• business interruption;
• loss of business opportunity;
• delays caused by third parties; or
• courier delays.

Our maximum liability shall not exceed the value of the goods or services purchased.

20. Privacy
Personal information is collected and processed in accordance with our Privacy Policy and applicable South African legislation, including the Protection of Personal Information Act (POPIA).

21. Website Use
While we strive to ensure uninterrupted access, Stitch Berry does not guarantee that the website will always be available.

Maintenance, updates or technical failures may temporarily interrupt access.

22. Force Majeure
Stitch Berry shall not be liable for delays or failure to perform its obligations where such delays result from events beyond our reasonable control, including but not limited to:

• supplier shortages;
• courier disruptions;
• power failures;
• natural disasters;
• strikes;
• civil unrest;
• government restrictions; or
• pandemics.

23. Governing Law
These Terms & Conditions shall be governed by the laws of the Republic of South Africa.

Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.

24. Amendments
Stitch Berry reserves the right to amend these Terms & Conditions at any time.
